1. Acceptance of Terms

By creating an account, accessing, or using ClipLab's services, platform, or website ("Services"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Services.

2. Eligibility

  • You must be at least 18 years old (or the legal age of majority in your jurisdiction).
  • If you use the Services on behalf of a company or organisation, you represent that you are authorised to bind it to these Terms.
  • Certain features may be restricted based on your location, local laws, or payment provider rules.

3. Services

ClipLab is a platform that connects brands ("Creators") with content distributors ("Clippers") for the distribution of short-form video content. Services may evolve, and we may add, change, suspend, or discontinue features at any time.

4. Accounts & Security

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account and credentials.
  • You agree to notify us immediately of any unauthorised use of your account.
  • We may suspend or terminate accounts that violate these Terms.

5. Payments, Fees & Escrow

  • Deposits by Creators: Campaign funds must be deposited into ClipLab's escrow account via our approved payment processors (Stripe, PayPal).
  • Platform Fees: ClipLab may deduct a service fee (commission, markup, or flat rate) from campaign budgets. Exact fees will be disclosed at checkout.
  • Refunds: Deposits are generally non-refundable once a campaign has started, except as required by law.
  • Taxes: Users are responsible for any applicable taxes on payouts or deposits.

6. Payouts to Clippers

  • Payouts are based on validated campaign performance metrics (e.g., verified views, engagement).
  • ClipLab may withhold or delay payouts in cases of suspected fraud, policy violations, or disputes.
  • All payouts are net of payment processor fees and may be subject to tax reporting requirements.

7. User Content & Intellectual Property

  • Ownership: Creators retain ownership of original content; Clippers retain ownership of their clips.
  • Licences: By submitting content, you grant ClipLab and relevant campaign participants a worldwide, non-exclusive, royalty-free licence to use, display, and distribute the content for campaign purposes.
  • Restrictions: You must not upload infringing, unlawful, defamatory, or harmful content.
  • DMCA/Notice Policy: ClipLab complies with applicable copyright law and will respond to valid takedown requests.

8. Acceptable Use

You agree not to:

  • Use the Services for fraudulent or illegal purposes.
  • Interfere with, reverse engineer, or exploit the platform.
  • Attempt to gain unauthorised access to accounts, systems, or data.

9. Termination & Suspension

We may suspend or terminate accounts for violations, fraudulent activity, or harmful conduct. Outstanding obligations (including payouts and fees) will still apply. ClipLab is not liable for losses caused by termination under these Terms.

10. Dispute Resolution & Governing Law

  • These Terms are governed by the laws of Australia.
  • Any disputes shall be resolved in the courts of Australia unless arbitration is mutually agreed upon.
  • Users waive the right to participate in class actions against ClipLab.

11. Disclaimers & Limitation of Liability

  • The Services are provided "as is" without warranties of any kind.
  • ClipLab disclaims liability for indirect, incidental, or consequential damages.
  • Our maximum liability to you will not exceed the amount paid by you to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ClipLab and its affiliates against any claims, damages, or expenses arising from your use of the Services, your content, or your breach of these Terms.

13. Force Majeure

ClipLab is not responsible for failure or delay caused by events outside our reasonable control, including natural disasters, government actions, network failures, or third-party service interruptions (e.g., Stripe outages).

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

  • Assignment: You may not transfer your rights or obligations under these Terms without our consent.
  • Severability: If any provision is found invalid, the rest remain enforceable.
  • Entire Agreement: These Terms and our Privacy Policy form the entire agreement between you and ClipLab.
  • Waiver: Our failure to enforce a right does not waive it for the future.
